4. Wills are NOT a "contract". A "contract" has two parties. A will, only has one. It's a legal DIRECTIVE.

I live in the US and need to execute a Power of attorney in my mom's name so she can manage my property in India. I want to know the process and any forms that are available?.

The contract needs to be looked at carefully by a UK-qualified solicitor for this type of issue. Sounds like the previous owner wants/wanted to make sure HE is not personally liable if the company he has transferred becomes insolvent.. . By and large, the director/s of a limited company are not personally liable for the debts of their . company. So to tie in the director's personal liability, then a creditor would seek a Personal Guarantee signed by the directors on a joint and several basis. If this is not present or if there is no specific creditor then I doubt the original contract terms and conditions could be enforced. But as I said talk to a solicitor and show him the contract in question.. . Best Regards
