The whole point of a *personal* guarantee is that you are give the guarantee yourself and you will be bound by the terms of what you agreed. So you can't pull out simply because it is not convenient to you any more.. . Unfortunately the fact that you have decided to leave the company is not really relevant. The creditor is still owed money, and they are still going to want a guarantor for that debt.. . This does not mean you are stuck, just that you need to do a bit more than write a letter. The terms of the guarantee may allow you to transfer the liability to someone else, such as your replacement. Even if the guarantee does not allow for this you may be able to reach an agreement with the creditor to allow this. If this does not work you may be able to get the incoming director (or anyone else) to indemnify you - essentially they promise to pay if you are sued. As a final alternative, before you step down you could arrange for the debt to be repaid so your guarantee expires. However, you obviously need the rest of the board to agree to this. And if there is any worry at all about the company being insolvent this kind of action could amount to a fraud against the other creditors (because you have paid one back preferentially for your own personal benefit).. . The moral of the story is to seek independent legal advice before giving a personal guarantee. Whichever option you choose to follow know I would still suggest you seek legal advice first. This needs to be independent. Its no good talking to the company solicitor because the company's interest is not necessarily the same as yours.
