  • A graduate of Albion College in Michigan and Capital University Law School, David E. Williams joined the firm in 1976. His practice focuses in business law, business formation, real estate law, real estate development, zoning, condominiums and commercial leasing.

    Attorney Williams has served as a board member and president of the Kent Area Chamber of Commerce and as a board member and president of the Kevin Coleman Mental Health Center. He has also been a board member of the Portage County Homebuilders Association and served as a board member and president of Twin Lakes Country Club.

    During my first fifteen years with the firm, my practice centered on banking and real estate. From a banking standpoint, much of my time was spent negotiating and drafting commercial loan documents and commercial loan workout documents. The vast majority of the rest of my time involved residential and commercial real estate transactions, and representing small businesses, including several local automobile dealerships and the local automobile dealer's association.

    Over the last fifteen years my practice has focused on small business, real estate, and estate planning.

    From a business standpoint, I assist clients with the creation and operation of businesses. At the outset I help clients select the right type of entity for their individual needs, including limited liability companies, corporations and partnerships, and then draft the documents to meet those needs such as operating agreements, partnership agreements, close corporation agreements, and buy sell agreements. From an operational standpoint, I assist clients with all types of business transactions, including company handbooks, product warranties, sales contracts, distribution contracts, and sales representative arrangements. My business practice also involves assisting businesses grow through mergers, and stock and asset acquisitions.

    The business practice naturally includes assisting clients with the disposition of their businesses. This runs the spectrum from voluntary sales and mergers, to passing the business to sons and daughters, to arguments among the owners resulting in the breakup of the business. Passing the business to family members involves assisting clients with estate planning through traditional wills and trusts, as well as gifting, and other types of transfers.

    My real estate practice involves assisting single family and multi family developers and commercial developers of all sizes through the maze of governmental land use regulations concerning subdivisions and zoning, including variances and conditional permits. One of the areas in which I have a significant amount of experience is the creation and operation of residential and commercial condominiums. In traditional subdivisions, as well as in condominiums, my practice also involves assisting clients with establishing the homeowner's association, and assisting owners with the operation of the association.

    While much of my real estate practice involves real estate developments, I also assist individual buyers and sellers of all types of real estate, including the purchase or sale of a personal residence.

    My practice also involves assisting real estate owners, business owners, others in general with their estate plans, helping them design and implement methods to pass their assets to their heirs through the use of traditional wills and trusts, and gifts, as well as through business arrangements. Avoiding probate is a common concern. There are several options that can be considered.

Google "adult name change" with the name of your state. Some states have self-help legal centers online that will answer all your questions. It will not involve a change of your social security number or birth certificate, but SS must be notified so that you will continue to get credit for your social security deductions. You will also have to notify your employer, your bank, etc.
