She can't. What she is trying to do is called an illegal adoption. She cannot legally change the child's name without the father's permission. Since the father is involved, he would insist that any name changing is going to be to his surname. If she wants to have the same surname as her son, then she should retain her maiden name after marriage.

A power of attorney is a personal trust placed by the trustor in the trustee and nobody else. If the named attorney-in-fact cannot be located, then the POA can be superseded (not revoked) in some cases (life-preservation) by another family member.
