SHARE DONATION AGREEMENT

WHEREAS the Donor is the sole, true and absolute owner and registered holder of all the issued and outstanding shares in the authorized capital stock of [COMPANY NAME], a company duly incorporated in the [State/Province] of [STATE/PROVINCE];

WHEREAS the Donor wishes to donate [NUMBER] of Class [SPECIFY] shares in the authorized capital stock of the Company to [SECOND PARTY NAME], the Recipient, free and clear of any and all charges, pledges, liens and encumbrances whatsoever, with effect as of [DATE];

WHEREAS all the formalities required to effect the transfer of the said [NUMBER] of Class [SPECIFY] shares of the Company from the Donor to the Recipient have been completed;
