  Jerry also has represented a global manufacturer in Tax Court in connection with a highly controversial "listed transaction" and advised a national wholesaler with an IRS audit involving various proposed adjustments related to a captive cooperative structure and a "corporate equity reduction transaction" loss carryback as well as a global energy company in connection with the restructuring of its technology and leasing portfolios and the restructuring of the company's supply chain in Asia.
