NON-DISTURBANCE AGREEMENT


This Non-Disturbance Agreement (the Agreement) is effective [DATE],

BETWEEN:  [YOUR COMPANY NAME] (the "Tenant"), a company organized and existing under the laws of the [State/Province] of [STATE/PROVINCE], with its head office located at:

AND:  [COMPANY NAME] (the "Creditor"), a company organized and existing under the laws of the [State/Province] of [STATE/PROVINCE], with its head office located at:

WHEREAS [YOUR COMPANY NAME] (the Tenant hereinafter),  has leased from [COMPANY NAME], (the Creditor hereinafter), under an Agreement of Lease executed as of [DATE] premises located at [FULL ADDRESS];

WHEREAS the Creditor hereby agrees to grant peaceful enjoyment to the Tenant, its successors and assigns;

THE PARTIES HAVE AGREED AS FOLLOWS:

The Creditor holds and benefits from a first ranking hypothec affecting the property described below (the Property) pursuant to a Deed of Loan and Hypothec received before [NAME], [SPECIFY TITLE], on [DATE/MONTH] and registered at the Registry Office for the Division of [CITY], Province of [STATE/PROVINCE] on [MONTH, YEAR] under number [NUMBER] (the Deed):


DESCRIPTION

That certain emplacement known and designated as subdivision [NUMBER] of the lot number [NUMBER], lot number [NUMBER] and lot number [NUMBER], all on the Official Plan and Book of Reference of the [CITY].

For good and valuable consideration, the sufficiency of which the parties hereby acknowledge, the Creditor hereby renounces in favor of the Tenant and all its successors and assigns, the right of eviction of the Creditor under article [SPECIFY ARTICLE] of the Civil Code of [COUNTRY], and furthermore the Creditor hereby agrees and undertakes not to assign or otherwise transfer its rights under the Deed or cede the priority or rank of its security created under the Deed to a third party without requiring from that third party renunciation of the same in favor of the Tenant, its successors and assigns.

The rights and obligations of the parties hereto shall be governed by the laws of the Province of [STATE/PROVINCE].
